Gesca Ltd. Acquires Ownership Interest in Workopolis

Newspaper owners invest in online recruiter

Workopolis (www.workopolis.com), Canada''s leading provider of recruitment and job search solutions, has announced
that Gesca Ltd., the newspaper publishing subsidiary of Power Corporation of Canada and partner in Alliance Workopolis (a partnership with Bell Globemedia Interactive Inc. providing recruitment and job search services in
the Province of Quebec), has exercised an option to purchase a 20-per-cent interest in the Workopolis partnership.

As a result of the exercise of this option, Workopolis has acquired the assets of Alliance Workopolis and Gesca Ltd. has acquired a 20-per-cent interest in Workopolis. Bell Globemedia Interactive Inc. and Toronto Star Newspapers Ltd. each hold a 40 per cent interest.

Our involvement as a partner in the Alliance Workopolis partnership in Quebec over the past year has proven to us the strong business strategy and growth potential of the electronic recruiting business in Canada, said Guy
Crevier, President and CEO of Gesca Ltd. Our decision to exercise our option to acquire a 20 per cent interest in Workopolis underscores Gesca''s commitment to Workopolis'' leadership position in this business.

2002 has been a very successful year for Workopolis with significant profitability and a 22 per cent increase in revenue over the same period in 2001. Since the Alliance Workopolis partnership was formed with Gesca last
year, the site''s Quebec job count has grown to three times more than any other Quebec job site, said Kim Peters, President, Workopolis. We''ve made additional commitments to the growth of the business in that market including adding a Regional Vice-President to our operations. The
